I assist my clients with a variety of business legal needs.  My primary areas of expertise are Intellectual Property and Commercial Contracts, but I also assist with other areas of business compliance, counseling, and dispute resolution.  If a business has a legal issue, I will work with them to investigate and understand the issue.  If it calls for additional business, technical, or legal expertise, I will help find the right specialists.  I can also manage cross-functional project teams for resolving complex issues (litigation, large transactions, etc.) to specific budgets, time lines, and business objectives.

Intellectual Property

Protect your products, process, and technology by building a patent portfolio; assess the strength and risk of competitors patent portfolios; build a database of technical references relevant to your market and competition; manage costs through efficient preparation, prosecution, and maintenance of U.S. and foreign patents
Evaluate your branding and selectively pursue trademark registration for key elements of your brand; respond to rejections and oppositions in the U.S. Trademark Office; monitor and analyze third party use or misuse of your trademarks; analyze and resolve allegations in cease and desist letters
Catalog and monitor use of your copyright protected software, media, web content, publications, and marketing and technical materials; analyze and resolve third party misuse of your copyright assets; analyze and resolve allegations in cease and desist letters

Contracts

Evaluate key terms, review proposed agreements from other parties, draft agreements for a specific transaction or recurring form, support negotiation, and monitor compliance with key terms of:
    • Intellectual property licenses (software, technology, media, know-how, brand)
    • Nondisclosure, non-compete, independent contractor, and employment agreements
    • Research and development agreements
    • Commercial sales, supply, and service agreements
    • Business formation and ownership agreements (shareholder, member, founder, etc.)
    • Business transactions and due diligence (purchase and sale, merger, etc.)
Establish or audit a contract management system for tracking cumulative contractual responsibilities across your business

Business Compliance and Counselings

Establish your business form (corporation, LLC, etc.), ownership, and control; establish processes for complying with corporate formalities (shareholder meetings, board activities, etc.); adjust your business form, ownership, or interests for transactions, change of control, and other transitions
Evaluate employment agreements, policies, and practices for compliance with regulations and risk management; investigate and resolve employee complaints or misconduct
Assess local regulatory compliance (permits, zoning, and ordinances); investigate community complaints or municipal actions adverse to your business
Assess state regulatory compliance (permits, licenses, inspections); assist with pursuing permits or challenging adverse administrative actions

Business Dispute Resolution

Evaluate and respond to threatened disputes
Negotiate dispute resolution
Pursue alternate dispute resolution (mediation, arbitration, etc.)
Investigate and analyze commercial litigation risks; manage litigation counsel, experts, and internal discovery to limit cost and distraction to executives and key employees
